These Terms govern your use of Kiauth OVSE. Please read them together with our Privacy Policy.

1. Acceptance of these terms

These Terms & Conditions (“Terms”) govern your access to and use of the Kiauth OVSE website and application at ovse.kiauth.com (the “Service”), operated by Kiauth Digitech Private Limited (“Kiauth”, “we”, “us”), [registered office address], CIN [•].

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you are accepting on behalf of an organisation, you confirm you are authorised to bind it.

2. The Service

Kiauth is a compliance and identity-verification layer for Indian stays. It helps a property verify a guest’s identity (including Aadhaar offline verification), maintain the state-mandated digital guest register, and prepare Form C / FRRO records for foreign guests. It also offers a verification API for eligible businesses.

Kiauth is not a property-management or channel-management system, and it does not provide legal advice. You remain responsible for your own compliance decisions and for how you use the records the Service produces.

3. Eligibility and accounts

You must be a business (or an authorised representative of one) capable of forming a binding contract under Indian law. You are responsible for the accuracy of your account details, for maintaining the confidentiality of your credentials, and for all activity under your account. Notify us promptly of any unauthorised use.

4. Your responsibilities

  • Obtain the guest’s informed consent before verification, as prompted in the check-in flow, and use the Service only for lawful purposes.
  • Use verification results and guest data only to meet your legal obligations and to run your stay — not for any unrelated or unlawful purpose.
  • Where you use Aadhaar verification under your own OVSE registration (bring-your-own-OVSE), you are responsible for maintaining that registration, credentials, and callback domain, and for complying with UIDAI requirements.
  • Keep your statutory register accurate and available to authorities as required by law.
  • Not attempt to submit or induce the Service to process a full Aadhaar number; the Service is designed to reject it.

5. Acceptable use

You must not misuse the Service, including by: attempting to access data of other properties or accounts; reverse-engineering, scraping, or overloading the Service; uploading unlawful content; circumventing security or rate limits; or using the Service to impersonate or defraud any person. We may throttle, suspend, or terminate accounts that breach these Terms.

6. Aadhaar and UIDAI compliance

Aadhaar verification is performed offline against UIDAI-signed credentials and public certificates; the full Aadhaar number is never collected or stored (see the Privacy Policy). You acknowledge that Aadhaar-based verification is subject to the Aadhaar Act, 2016 and UIDAI regulations, and you agree to use it only as permitted by them and to obtain any consents they require.

7. Fees, billing, and taxes

Paid plans are billed through our payment partner (Razorpay) in Indian Rupees, on the cycle shown at purchase. Fees are exclusive of applicable taxes (including GST) unless stated. Subscriptions renew unless cancelled before the renewal date. If a payment fails or lapses, we may limit or suspend access until it is resolved; your data is not deleted merely because of a billing issue. Except where required by law, fees are non-refundable.

8. Intellectual property

The Service, including its software, design, and content, is owned by Kiauth or its licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. You retain ownership of the data you and your guests provide; you grant us the rights needed to process it to provide the Service.

9. Data protection and privacy

Our handling of personal data is described in the Privacy Policy, which forms part of these Terms. For guest verification data, you are the Data Fiduciary and Kiauth acts as your Data Processor, processing that data on your documented instructions and applying appropriate safeguards.

10. Third-party services

The Service integrates third-party providers (for example, SMS, email, payments, and cloud hosting). Their availability is outside our control, and your use of any third-party service you connect (such as a PMS or webhook endpoint) is your responsibility.

11. Warranties and disclaimers

The Service is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will, by itself, make you compliant with every legal obligation — compliance also depends on how you use it.

12. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Service is limited to the fees you paid to us for the Service in the [twelve (12)] months preceding the event giving rise to the claim. Nothing limits liability that cannot be limited under applicable law.

13. Indemnity

You agree to indemnify and hold Kiauth harmless from claims, damages, and reasonable costs arising from your breach of these Terms, your misuse of the Service, or your failure to obtain required consents or to meet your own legal obligations.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, legal requirement, or risk to the Service or others. On termination, your right to use the Service ends; statutory records are retained and handled as described in the Privacy Policy.

15. Changes

We may update the Service and these Terms from time to time. Material changes to the Terms will be notified through the platform or by other reasonable means; continued use after the effective date constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of India. Subject to any applicable law on dispute resolution, the courts at [city], India shall have exclusive jurisdiction, and the parties may first attempt to resolve disputes amicably or through arbitration at [seat] under the Arbitration and Conciliation Act, 1996.

18. Miscellaneous

If any provision is held unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. Neither party is liable for delays caused by events beyond its reasonable control.
